...everthing was supposed to be in iCloud... I'd contact Apple & see what they say. I bet they can resurrect those files for you.

Strange! I have never lost a file in 5 years with iTunes and I have over 1000 ripped CDs in it. That and about 200 videos and movies. Plus Tons of PDFS and books.
I dedicate an entire drive I: to iTunes. When I did the upgrade to 11 everything came back exactly where it was.
I have always run with "Keep iTunes Media Organized" and UNCHECKED "Copy to iTunes Media Folder when adding to iTunes" as I prefer to do the extra step of Library - Organize Library - Consolidate Files.

Upgraded to iTunes 11 without a hitch. Not sure I like the new interface, but it's new so I'll give it a while.
